The translation of the “Letter of Consent of participation of Japan PlugFest”
Participating teams must agree with all articles stated below.
Article 1 Event
This letter of consent is for the operation of the 5th Japan PlugFest (hereinafter “The Event”), held by Japan
Embedded Systems Technology Association (hereinafter “JASA”), the organizer of the event, on June 5th-6th, 2014 at
Tokyo Big Sight. The event is for verification of the HDMI or MHL interface compatibility between the products.
Article 2 The purpose of the event
Practical connection tests are purposed. The results of the testing does not mean any guarantee for the
product and/or compatibility (in public).
Article 3 Non-disclosure term
The Participants must treat the information about the unpublished products and the every test results as
“confidential information”. The participant must not disclose the confidential information to other participants of
The Event and a third party, without the explicit consent of the participant of the other brands.
The confidential information shall be used among the participant’s company only to check of the compatibility
of the products and equipment.
The period of non-disclosure of confidential information is for three year.
The information as below, however, must be excluded. The information
(1) was generally known at the time of disclosure, or was in the participant’s possession prior to disclosure.
(2) becomes so generally known after the disclosure, through no act of the participant.
(3) has come into the possession of the participant without confidentiality restriction from a third party who is under
no obligation to the discloser.
(4) was developed and/or created regardless of disclosure.
Article 4 Rest information
The participants may use rest information without confidentiality restriction for their product and company
service. Those rest information is not meaning the consent of the disclosers, copyright, license, other intellectual
property rights.
The “Rest information" in here means that the confidential information of Article 3 that the participant
memorized unconsciously. The information that was memorized intentionally to disclose it is not included in the "Rest
information".
Article 5 Intellectual property right
Participation of The Event and/or the disclosure of the confidential information shall not mean the consent and
/or the outbreak of the intellectual property right between participants, such as a patent, a trademark, a copyright.
Article 6 Exemption clauses
Any information, test results, and disclosed confidential information in The Event shall not perform any
guarantee. The Event participant does not perform a guarantee about the marketability of the product, the
compatibility to a specific purpose, and the infringement to the intellectual property right of the third party. Any
information, test result, confidential information is offered by no guarantee and shall not cause any guarantee.
Article 7 Limit of the responsibility
As a result of having violated Article 3, this event participant has possibility to bear the compensation respons
ibility when the damage occurs to other participants.
Except above, as for responsibility of compensation for other participants or the third party,
this event participant shall be discharged with or without prognostication of compensation, or with or without
advice about the compensation.
Article 8 Responsibility of the sponsor
Every compensation for damages or other legal Responsibility, caused by participants and/or the third party,
due to The Event shall not be extended to JASA, the organizer of The Event.
JASA maintains the confidential information as secrets, and does not disclose the confidential information
except for the purpose of holding The Event.
JASA concludes the letter of consent with all of participating teams, and has a responsibility for compensation,
when JASA violates it.
Article 9 Jurisdiction
In case any disputes arise out of or in connection with the original letter of consent of participation of Japan
PlugFest, the Tokyo District Court in Japan shall have the sole and exclusive jurisdiction.
日本プラグフェスト参加同意書
日本プラグフェストへの参加者は以下の条項に同意するものとする。
第一条（イベント内容）
本参加同意書は、2014 年 6 月 5 日～2014 年 6 月 6 日に東京ビッグサイトにて一般社団法人組込みシステム技術協会
が主催する第 5 回日本 Plug Fest(以下「本イベント」という)を対象とする。参加者は HDMI
あるいは MHL インターフェイス関連メーカーとし、各参加者は自社製品と他社製品との互換性の検証をおこなう。
第二条（イベント目的）
本イベントの目的は純粋な接続テストであり、本イベントの参加は参加者の製品に対するいかなる保証および認証
を意味しない。
第三条（機密保持）
本イベントにおいて発売前の製品が持ち込まれテストされる可能性がある。参加者は、本イベントにおいて入手し
又は知り得た他社の発売前の製品に関する情報及び他社製品のテスト結果（以下それらを総称して「機密情報」と
いう）を機密として扱うこととし、当該他社製品を提供した参加者の明示的な承諾なしに、本イベントの他の参加
者及びその他第三者にその機密情報を開示してはならない。参加者は、機密情報をその情報をテストした機器の互
換性の検証のみに使用するものとし、その目的のために知る必要のある自己の役員および従業員（派遣社員を含む）
に対してのみ開示するものとする。機密保持期間は本イベント終了時から 3 年間とする。ただし以下の情報は機密
情報から除外するものとする。(1)開示時点で既に公知又は被開示者が知得していた情報。(2)被開示者の責によら
ず公知となった情報。(3)正当な権限を有する第三者から秘密保持義務を負うことなく知得した情報。(4)被開示者
が開示された情報と無関係に開発、創作した情報。
第四条（残余情報）
前条に反しない場合においても、本イベント参加者が自社製品および自社サービスに残余情報を使用してしまう可
能性がある。但し、それらの残余情報は開示者の特許、著作権、その他の知的財産権におけるライセンス許諾を意
味するものではない。ここにおける｢残余情報｣とは、本同意書における機密情報にアクセスした本イベント参加者
の従業員が無意識のうちに記憶した情報を意味する。後に使用もしくは開示をするために意図的に記憶した情報は
｢残余情報｣に含まれない。
第五条（知的財産権）
本イベントへの参加、あるいは本イベントにおける機密情報の開示によっては、本イベント参加者間における特許、
商標、著作権等の知的財産権の発生および許諾を意味しないものとする。
第六条（免責条項）
本イベントにおけるあらゆる情報、テスト結果、開示された機密情報に関して、本イベント参加者はいかなる保証
もおこなわない。本イベント参加者は製品の市場性に関する保証、特定目的への適合性、第三者の知的財産権への
侵害に対するいかなる保証もおこなわない。それらの情報、テスト結果、機密情報は無保証にて提供されるもので
あり、いかなる保証も生じさせないものとする。
第七条（責任の制限）
本イベント参加者は、第三条の機密保持条項に違反した結果、他参加者に損害が生じた場合はその賠償責任を負う
可能性を有する。但し、それ以外の本同意書から生じる他参加者あるいは第三者に対する賠償責任に対して、賠償
の予見の有無あるいは賠償に関する助言の有無に関わらず、本イベント参加者は免責されるものとする。
第八条（主催者の責任）
本イベントに起因する参加者あるいは第三者に対する損害賠償その他のあらゆる法的責任は、本イベントの主催者
である社団法人組込みシステム技術協会には及ばないものとする。但し、一般社団法人組込みシステム技術協会は、
本イベントの参加者の機密情報を機密として保持し、本イベント以外の目的で使用又は開示せず、また、本イベン
トの参加者に対し本参加同意書を締結させるものとし、これらに違反した場合は、上記免責は適用されないものと
する。
第九条（司法管轄・準拠法）
本同意書に関する専属管轄裁判所は東京地方裁判所とし、日本法に基づき紛争等の解決を図るものとする。
