本セミナーでは、主な国際建設プロジェクトで用いられる以下の 3 つの標準契約約款の主要条項につい
て考察いたします:

FIDIC（国際コンサルティング･エンジニア連盟）｢プラント及び設計施工の契約条件書｣（1999 年
版）（通称、FIDIC イエローブック） HP 購入

ENAA（一般財団法人エンジニアリング協会）｢プロセスプラント建設モデルフォーム｣（2010 年
版）
•
JICA（国際協力機構）｢プラント設計、供給、据付の調達に係る一般条件書｣ HP
受講者で上記（FIDIC イエローブック 1999 年版、ENAA プロセスプラント建設モデルフォーム 2010 年
版、JICA｢プラント設計、供給、据付の調達に係る一般条件書｣）をお持ちの方はご持参下さい。

る。

各契約約款で採用されている紛争解決方法、特に｢裁判外紛争解決手続｣を中心とした解決方法に
ついて概説する（正式な仲裁や裁判以外の方法—すなわち、調停、紛争裁定委員会（DAB）、紛争
処理委員会（DB）、エンジニアや専門家による決定など）（ヒル担当）。
また、そのような非公式な方法を試みるも解決に至らなかった場合はどうなるか、特に仲裁に付託
された場合の仲裁地や仲裁規則の選択時における主な検討事項について考察する（ワトソン担
当）。

クレイグ･ブルック（Craig Brook）
ホーガン・ロヴェルズ東京事務所のシニア・アソシエイト。大規模な EPC やその他の建設契約の起草や
交渉において豊富な経験をもつ。Siemens 社の社内弁護士や JX 日鉱日石開発株式会社、Rio Tinto
社、Hydro Tasmania 社への出向経験もあり、大型の建設、エネルギー、インフラ、PPP/PFI プロジェク
トに係るアドバイザリー業務も行う。最近では、建設会社に約 1 年間在籍し、EPC 契約や大規模な海外
オンショア LNG プロジェクトの下請契約において法律サポートを提供。
ティム･ヒル（Timothy Hill）
ホーガン・ロヴェルズ香港事務所のパートナーで、アジア全域のプロジェクト（エンジニアリング・建設）部
門総括パートナー。建設案件や建設紛争に関するアドバイスの提供において豊富な経験があり、世界
的に採用されている標準契約約款やビスポーク型契約から生じる様々な契約問題、地盤条件に起因す
る問題、設計上の問題、工事の遅延や中断、欠陥工事など、建設プロジェクトにおいて頻発するあらゆ
る問題を取り扱ってきた実績をもつ。英国仲裁人協会の元東アジア支部長であり、現在は弁護士として
執務する傍ら、仲裁人の引き受けも行う。また、建設業界全般や紛争解決について様々な記事の執筆
や講演なども行う。
トニー･マーシャル（Tony Marshall）
ロンドンに拠点を置くプロジェクト（エンジニアリング・建設）部門のパートナー。建設関連の法律業務にお
いて 30 年超の経験を有しており、建設やインフラ・プロジェクトに必要な各種契約書、プロジェクトに関
連して発生する諸問題や紛争の回避、紛争解決手続き（調停、専門家による決定、司法判断、紛争委員
会、仲裁、訴訟手続き）などあらゆる法律サービスを提供。1994 年から 2002 年まで HL アジア建設部
門の責任者を務め、ロンドン事務所へ帰任後も東京事務所の建設案件を引き続き担当。IBA（国際法曹
協会）国際建設プロジェクト委員会の共同副委員長でもあり、2003 年以降、ENAA の法務委員会に標
準契約約款についてアドバイスを提供している。
パトリック･マクゴニガル（Patric McGonigal）
ホーガン・ロヴェルズ東京事務所のパートナー。商事、国際通商、トレードファイナンス、規制問題、海
事・エネルギー関連保険に係る紛争解決において豊富な経験をもつ。英国勅許仲裁人協会の会員であ
り、ICC, SIAC, HKIAC, CIETAC を始め、ロンドンや欧州の LCIA, LMAA, FOSFA, AFTA、RSA でも
仲裁を行なってきた広範な経験をもつ。ホーガン・ロヴェルズ東京事務所入所前は、ロンドンで 9 年間、

THE ENAA, FIDIC AND JICA CONTRACTS:
A COMPARISON OF THE KEY PROVISIONS
This seminar will examine the main provisions of the following three forms of contract used for
major international construction projects:
•
the FIDIC (Fédération Internationale des Ingénieurs-Conseils) Conditions of Contract for
Plant and Design-Build 1999, commonly known in the industry as the FIDIC Yellow Book;
•
the ENAA (Engineering Advancement Association of Japan) Process Plant Construction
Model Form 2010; and
•
the JICA (Japan International Cooperation Agency) General Conditions for the
Procurement of Plant Supply, Design and Installation.
Delegates are invited to bring with them copies of the FIDIC Yellow Book 1999, the ENAA
Model Form of Contract for Process Plant Construction 2010 and the JICA General
Conditions with them for reference.

Synopsis
This first session will explain how the three contract forms are arranged, the priority of
documents and how they are/should be interpreted. It will then examine the Contractor's key
obligations, including how work is defined and the requirements as to quality and fitness for
purpose, followed by the Employer's/Owner's key obligations (including access to site and
payment). Finally it will consider the provisions as to security for performance (i.e.
guarantees and bonds).
3. Contract administration, time obligations, the transferrring of ownership of, and
responsibility for, materials/the Works; intellectual property rights; and
suspension/ termination

Synopsis
This session will examine how each of the three contract forms are managed and
administered, particularly focusing on the roles of the Engineer, Project Manager and
Employer's Representative. It will then look at how the three contract forms deal with
obligations as to the time for performance (including extensions of time, liquidated damages
for delay and early completion bonuses), at the passing of title and risk in relation to
materials and equipment, and the provisions for suspension of the work and termination of
the Contract.

4. Variations and changes

Synopsis
This session will consider the variation/change procedures which are set out in the three
contract forms.
5. Testing and completion regimes
Tom Smith, Associate, Hogan Lovells Tokyo
Synopsis
One of the key elements in any construction contract is the regime governing how the works
are tested and certified as complete. This session will examine the manner in which the three
contract forms approach to the issue of completion, how the testing procedures operate and
the remedies available to the employer if the tests are failed.

6. Insurance arrangements

Synopsis
This session will consider the insurance provisions contained in the three forms of contract,
in the context of the typical approaches towards insurance on international construction
projects (and will touch on some of the challenges in this particular area).
7. Defects and the Contractor's liability
Timothy Hill, Partner, Hogan Lovells Hong Kong
Synopsis
This session will examine the position where the works performed by the Contractor are
defective and the extent of the Contractor's exposure, as well as the limits imposed on that
exposure in the three contract forms.
8. Dispute resolution and limitations of liability
Timothy Hill, Partner, Hogan Lovells Hong Kong and Tamara Watson, Associate, Hogan
Lovells Tokyo
Synopsis
In this session, Tim will explain the approach taken in the three contract forms to dispute
resolution, concentrating on the various methods of "alternative dispute resolution" which
they adopt (that is to say, methods other than full-scale formal arbitration or court
proceedings - including mediation, dispute adjudication boards (DABs), dispute boards (DBs)
and engineer's and expert determination).
Tamara will then look at what happens if all attempts at informal resolution fail including, in
particular, the approach towards arbitration, touching on the key considerations when
choosing a jurisdiction or arbitration seat and the various institutional rules under which any
arbitration is to be conducted.

Brief biographies of speakers (in alphabetical order)
Craig Brook is a Senior Associate based in Hogan Lovells' Tokyo office and is a member of the
Projects (Engineering and Construction) practice. He has extensive experience of drafting and
negotiating large EPC and other construction contracts, having worked in-house (for Siemens),
on secondment (for JX Nippon Oil & Exploration Corporation, Rio Tinto and Hydro Tasmania) and
in private practice as an adviser on major construction, energy, infrastructure, oil and gas and
PPP/PFI projects. Craig recently spent approximately 12 months working in the offices of a
Japanese contractor client and assisting with the negotiation of the EPC contract and a number of
major construction subcontracts for a large onshore LNG project.
Timothy Hill is a Partner based in Hong Kong and is the head the firm's Projects (Engineering
and Construction) practice in Asia. He has extensive experience in relation to advisory work in
the construction industry and construction disputes. He has dealt with most of the issues which
commonly arise in the industry, including issues of contractual construction, problems arising
from ground conditions, design issues and disputes as to delay, disruption and defects and in
doing so had to consider the various standard forms of contract used internationally, as well as
bespoke forms. He is a past chairman of the East Asia Branch of the Chartered Institute of
Arbitrators, one of the major arbitration bodies internationally. He is a practising arbitrator and
has written and spoken widely on topics relating to the construction industry and dispute
resolution.
Tony Marshall is a Partner in Hogan Lovells' Projects (Engineering and Construction) practice,
based in the London office. He has 30 years' experience of advising on all manner of contractual
documents required in the procurement of construction and infrastructure projects including
issues arising during projects and dispute avoidance and dispute resolution procedures such as
mediation, expert determination, adjudication; dispute boards, arbitration and court proceedings.
He led the firm's construction practice in Asia from 1994 until 2002 and retains particular
responsibility for the construction practice in our Tokyo office. He is co-vice-chairman of the
International Construction Projects Committee of the International Bar Association, and has
advised the Legal Affairs Committee of the ENAA in Japan since 2003 on their forms of contract.
Patric McGonigal is a Partner of Hogan Lovells' Tokyo office. He is experienced in a broad
range of commercial, international trade, trade finance, regulatory, energy and insurance related
disputes. He has extensive experience of conducting arbitration cases before the ICC, SIAC,
HKIAC and CIETAC, as well as in London and Europe before the LCIA, LMAA, FOSFA, GAFTA
and RSA. Prior to joining Hogan Lovells in Tokyo, Patric spent nine years in London but also
eight years in Shanghai, Hong Kong and Singapore and so has extensive experience of assisting
clients resolve claims and disputes in Asia generally.
Lupus Sabene is a Senior Associate in Hogan Lovells' Tokyo office and is a member of the
Projects (Engineering and Construction) practice. He has significant experience in the
development and construction of energy and natural resource projects. He has been based in
Japan for the last eight years advising a range of clients on major projects. During this time, he
spent three years on secondment to Mitsubishi Corporation, where he advised their energy and
machinery departments. Lupus is currently seconded as senior in-house counsel to the lead
contractor for the construction of a major onshore LNG project in Australia.
Tom Smith is an Associate currently based in Tokyo and is a member of the Projects
(Engineering & Construction) practice. He is currently seconded to a contractor client in Tokyo
and has particular experience in relation to power and process plant contracts and in working on
aerospace matters.
Tamara Watson is an Associate in Hogan Lovells' Tokyo office, currently on secondment to a
major trading company in Tokyo. Admitted to practice in Australia, international dispute resolution
(arbitration and litigation) is her main focus.
Note: The seminar topics will be presented in English, with power point slides in both English and
Japanese. The panel discussion will be conducted in both Japanese and English, with facilitators
providing translation of key elements.
